These Terms of Service ("Terms") govern your access to and use of our Service available at www.swiftcaredistributions.com and any affiliated domains. By accessing or using our Service, you agree to comply with and be bound by these Terms.

1. Privacy Policy

2. Eligibility & Registration

You must be at least 18 years old to use the Service. By registering, you agree to provide accurate and current information and keep it updated. You are solely responsible for maintaining the confidentiality of your credentials and all activities under your account.

You retain ownership of the content you submit (e.g., inventory data, purchase orders). By uploading content, you grant Swiftcare a limited license to host, process, and improve the Service. We do not sell your data.

5. Intellectual Property

All trademarks, content, and software on the platform are owned by Swiftcare or its licensors. Unauthorized use, copying, or distribution is prohibited without prior written consent.

6. Third-Party Links and Tools

The Service may include integrations or links to third-party services (e.g., QuickBooks, Excel, Power BI). Swiftcare is not responsible for the content, terms, or practices of these services.

7. Termination

We may suspend or terminate your account if you violate these Terms. Post-termination, you may request an export of your data within a limited period.

8. Warranties and Disclaimer

The Service is provided "as is" without warranties of any kind. We do not guarantee uptime or error-free functionality.

9. Limitation of Liability

Swiftcare shall not be liable for indirect or consequential damages. Our total liability is limited to the fees paid for the Service within the past 90 days.

10. Updates to Terms

These Terms may be updated periodically. Significant changes will be communicated via email or website notice. Continued use constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of California, U.S.A.

Data Processing Addendum (DPA)

This Addendum supplements our Terms of Service and Privacy Policy for users under GDPR, CCPA, or similar data regulations.

1. Definitions

  • Personal Data: Identifiable user-related data
  • Processing: Handling of Personal Data
  • Controller: The customer entity
  • Processor: Swiftcare Distributions ERP
  • Sub-Processor: A third-party service provider authorized to process data

2. Purpose

Processing is limited to fulfilling service delivery obligations.

3. Responsibilities of Processor

We will:

  • Process data only on customer instructions
  • Ensure confidentiality by authorized personnel
  • Implement robust security protocols
  • Support customer compliance with data regulations
  • Provide audit-related information

4. Sub-Processors

We:

  • Maintain an updated list of Sub-processors
  • Bind them to similar data obligations
  • Notify Controllers of significant changes

5. International Transfers

Transfers outside the EEA will comply with legal safeguards like Standard Contractual Clauses.

6. Data Subject Rights

We will assist Controllers in addressing requests related to access, correction, deletion, or objection.

7. Data Breach Notification

Swiftcare will promptly notify the Controller of any breach with sufficient detail.

8. Return or Deletion of Data

Upon contract end, we will return or securely delete all Personal Data unless legally required to retain it.

9. Liability

Liability is subject to the limitations set forth in the main Agreement.

10. Governing Law

This Addendum is governed by California state law unless required otherwise by applicable regulations.
